Terms of Service

1.1 Service scope (Brief-only)

Oxaide is the only service offered under these Terms. A prior product, Rebalance Cloud (IBKR portfolio workspaces and subscriptions), is archived and no longer offered — any older references to it elsewhere are superseded by this section. Under Oxaide, the Service lets you:

• Email a research brief and receive a fixed per-job quote
• Pay per job by card or PayNow via Stripe (prepay before work starts)
• Receive a cited pack (files + PDF record + sources) by email
• Track status on a live per-job page and reply in-thread for follow-ups
• Buy an optional 3-pack of pack-tier credits (one-time or auto-renew)

1.1A Oxaide (per-job research desk)

Oxaide is a per-job service: you email a brief, receive a fixed quote (Quick check S$49, Pack S$390, Board pack S$1500, or 3-pack S$990 for three pack-tier briefs), pay by card or PayNow via Stripe, and receive your cited pack (the right files + PDF record + sources) by email. No account or login is required. Uploads are wiped within 24 hours; packs are kept 90 days.

• Research only: every line carries source + page + confidence; items without a source are flagged, never guessed.
• Refund promise (overrides Section 3.5 for Brief purchases): full refund if we can’t back a key claim — email hi@oxaide.com within 14 days of delivery with the claim in question.
• Credits cover pack-tier briefs; while a 3-pack is active, quick checks are on the house (fair use) and board packs stay pay-per-brief. Credits expire 90 days after purchase.
• The liability cap in Section 11.2 applies equally to Brief purchases.

1.2 Eligibility and authority

• You must be at least 18 and legally able to enter a binding agreement.
• If you use the Service for an organisation, you represent that you may bind it to these Terms.
• You must provide accurate billing information and comply with applicable law.
• You may not use the Service if doing so would violate sanctions, export controls, or other legal restrictions that apply to you or us.

2.1 Your email is your account

• There is no login: your email thread is your account. Keep your inbox, exports, and share links secure.
• Brief status pages and download links are bearer links — anyone holding the link can view or download until expiry. Do not forward them.
• Notify hi@oxaide.com promptly if you suspect unauthorised use of your briefs or links.
• One buyer per email thread: group threads share replies with all participants.

2.2 Job processing boundaries

Each paid brief runs on its own isolated computer: quoted work waits for Stripe payment, packs generate after payment, and failed jobs never deliver placeholder output.

• Oxaide never asks for trading, banking, or withdrawal credentials of any kind.
• A request may be refused or paused if payment, scope, security, or usage checks are not satisfied.
• The Service never moves money except taking your pre-authorised per-job or 3-pack payment via Stripe.
• Quotes lapse 24 hours after issue; paid jobs deliver to the quoted tier and SLA.

3.1 Free fixed quote

Every brief gets a free fixed quote (S$49/390/1500) valid 24 hours. No payment card is required to be quoted. We may correct clear quoting errors before you pay; after payment the quoted tier and price are locked.

3.2 Oxaide per-job pricing

Fixed per-job quotes, paid by card or PayNow via Stripe before each job. Prices in Singapore dollars; no GST is added.

3.3 3-pack credits

• A 3-pack buys three pack-tier brief credits for S$990 one-time, or S$890/month auto-renew. Credits auto-apply to briefs from the same email — no codes, no login.
• Credits expire 90 days after purchase. Unused credits do not roll over, extend, transfer, or create a cash balance.
• While a pack is active, quick S$49 checks are on the house (fair use); board packs stay pay-per-brief.
• Auto-renew is managed through the Stripe customer portal (balance page → manage); cancel anytime, paid credits stay usable till expiry.

3.5 Auto-renew, cancellation, and refunds

• Only the optional 3-pack auto-renew (S$890/month) recurs, until cancelled. Per-job briefs never recur.
• You authorise Stripe to charge the payment method for each confirmed checkout and each auto-renewal.
• Cancel auto-renew anytime via the portal link on your balance page; already-paid credits stay usable till expiry.
• Fees are non-refundable except where required by law, expressly stated at purchase, or covered by the Brief refund promise (full refund if we can’t back a key claim — email hi@oxaide.com within 14 days of delivery).
• Failed payment may lead to paused jobs or cancelled auto-renew after reasonable retry or notice.

4.1 Your responsibilities

• Use the Service lawfully and only with content, files, and sources you have the right to use.
• Review research outputs, source coverage, uncertainty, and material decisions yourself.
• Respect intellectual property, privacy, market-abuse, securities, sanctions, and other applicable laws.
• Keep workspace access and any opt-in sharing appropriate for the sensitivity of the content.

4.2 Prohibited use

• Illegal, fraudulent, deceptive, abusive, harmful, or rights-infringing activity
• Market manipulation, insider trading, evasion of trading restrictions, or other unlawful market conduct
• Attempting to obtain personalised investment advice, trading signals, autonomous execution, custody, or account control from the Service
• Submitting prohibited credentials or asking the Service to use write-enabled financial access
• Circumventing usage caps, access controls, billing controls, rate limits, or security measures
• Probing, disrupting, reverse engineering, scraping, copying, or reselling the Service except as law expressly permits
• Uploading malware or content intended to compromise a system, provider, source, or person
• Using outputs to impersonate a person, fabricate a source, misstate evidence, or conceal material uncertainty

5.1 Your content

As between you and Oxaide, you retain ownership of your briefs, attachments, delivered packs, notes, and other content you submit to the Service, called “Customer Content.” You represent that you have the rights and permissions needed for Oxaide and its providers to process Customer Content as described in these Terms and our Privacy Policy.

5.2 Licence to operate the Service

You grant Oxaide and its service providers a worldwide, non-exclusive, limited licence to host, copy, transmit, retrieve, transform, display, and otherwise process Customer Content only as reasonably needed to provide, secure, support, and maintain the Service, comply with law, and exercise rights under these Terms. This licence ends when the content is deleted from active systems, subject to the retention and legal exceptions in our Privacy Policy.

5.4 Email identity

There are no workspaces or administrators: the buyer email address identifies the brief. Group threads share replies with all participants by design — only brief addresses you control, and do not forward bearer links.

6.2 Pack and output limits

• Packs and figures may be incomplete, inaccurate, stale, inconsistent, unavailable, or affected by data and model limitations.
• Second-agent checks and human review reduce errors but do not prove that figures, filings, or market conditions will match the pack.
• A pack may omit paywalled or unreadable sources rather than guess — gaps are flagged, never filled.
• You must verify material facts with primary sources and qualified professionals before acting.
• Decisions carry risk, including financial loss; research is not advice.

• The Service may access or link to public, licensed, or user-directed sources and third-party tools. Their content, availability, terms, and privacy practices are controlled by those third parties.
• Market data, filings, websites, news, and other sources may be delayed, revised, restricted, removed, or incorrect.
• You must comply with third-party terms and may not use Oxaide to bypass access, copyright, licensing, or technical restrictions.
• Oxaide may change, restrict, or discontinue a provider, model, tool, source, or integration when reasonably necessary.
• References and links do not imply Oxaide endorsement of a third party or its claims.

Our Privacy Policy explains how we collect, use, disclose, secure, transfer, retain, and delete personal data and Customer Content. It forms part of these Terms.

10.1 Service changes and availability

We may update, limit, suspend, or discontinue features to maintain security, reliability, legal compliance, provider compatibility, or product direction. The Service may be interrupted by maintenance, failures, source restrictions, provider outages, or events outside our reasonable control. Standard plans do not include a guaranteed service level or uninterrupted availability.

11.1 Excluded losses

To the maximum extent permitted by law, Oxaide and its officers, employees, contractors, affiliates, and providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, business, goodwill, data, opportunities, trades, or investment value, even if advised that such loss was possible.

11.2 Liability cap

To the maximum extent permitted by law, the aggregate liability of Oxaide and the parties listed above arising from or related to the Service or these Terms will not exceed the greater of (a) the fees you paid to Oxaide for the Service during the 12 months before the event giving rise to the claim or (b) USD $100.

11.3 Non-excludable rights

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not permit certain warranty disclaimers or liability limits, so parts of Sections 10 and 11 may not apply to you.

11.4 Indemnity

To the extent permitted by law, you will indemnify and hold harmless Oxaide and its officers, employees, contractors, and affiliates from third-party claims, losses, and reasonable costs arising from your Customer Content, your unlawful or prohibited use, your breach of these Terms, or your infringement of another person’s rights. This obligation does not apply to the extent a claim was caused by Oxaide.

12.1 By you

You may stop using the Service at any time and may cancel 3-pack auto-renew through the portal link on your balance page. You may request deletion of your data by contacting privacy@oxaide.com. Cancellation and deletion are different actions.

12.2 By Oxaide

We may limit, suspend, or terminate access when reasonably necessary, including for:

• Breach of these Terms or applicable law
• Non-payment, chargeback abuse, fraud, or circumvention of plan limits
• Security risk, prohibited credentials, misuse, or harm to the Service, a provider, a source, or another person
• A legal requirement or loss of a provider, source, or technical dependency needed to continue the Service
• Discontinuation of the Service, with notice where reasonably practicable

12.3 Effect

When access ends, your right to use the Service ends and outstanding fees remain due. Customer Content is handled under the Privacy Policy and applicable law. Sections that by their nature should survive will survive, including ownership, disclaimers, liability, indemnity, disputes, and general terms.

We may update these Terms as the Service, plans, providers, or law changes. We will post the revised Terms with a new effective date and give additional notice where required by law or where a change materially reduces your rights. If you do not agree, you must stop using the Service and cancel before the revised Terms take effect. Continued use after that date means the revised Terms apply.
